Welcome to OUTSMART Services Pvt Ltd (OPC). By using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree with these terms, please do not use our Services.

Specific Marketing Strategies, Tools, and Platforms

We specialize in B2B marketing for Manufacturing companies and technology companies. We utilize various tools and platforms, including but not limited to Google Analytics, HubSpot, Google Search Console, Keyword Planner, Ubbersuggest, LinkedIn Analytics, LinkedIn, Facebook, Instagram, Meta analytics, etc., to optimize our marketing efforts.

Service Eligibility

Our services are intended for businesses and organizations. Users must be at least 18 years of age to enter into a contract for services with OUTSMART.

Service Agreements

The client shall provide all necessary information, payments, approvals, and other support as required by OUTSMART in a timely and orderly manner to ensure smooth project execution.
All activities are executed on a best-effort basis. OUTSMART shall not be liable for any adverse effects arising from these activities.
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including force majeure conditions.
Given completion date and deadlines will be met provided there is no change in SoW.
Projects canceled midway or put on hold after a Purchase Order (PO) has been issued by the client will be eligible for full billing as per the PO amount along with applicable taxes.
Upon payment of the final invoice, OUTSMART assigns to the client all right, title, and interests to all of its copyrights in the content produced.
Either party may cease the agreement by serving a notice of at least one month prior to the desired date of cessation.
OUTSMART makes no ownership claim with respect to any copyrighted materials, trademarks, trade secrets, or other intellectual property supplied by the client for the Services.
OUTSMART may include the client’s name and trademark or service mark in a list of clients for marketing and promotional purposes without presenting any material in a derogatory manner.
The client will provide all necessary information and decisions required for the successful outcome of the project and will designate any confidential portions of the project in writing.
OUTSMART agrees to treat designated confidential information with the same degree of confidentiality as its own and, in any event, with no less than a reasonable degree of care.

Minimum Commitment Periods

There are no minimum commitment periods for using OUTSMART services unless specified in the service agreement.

Payment and Billing

Pricing details will be provided in the quotations. Payments will be accepted through bank transfer for the invoice raised.

Cancellation and Refund Policy

Projects canceled midway or put on hold after a Purchase Order (PO) has been issued by the client will be eligible for full billing as per the PO amount along with applicable taxes.

Intellectual Property

All content and materials available on our website or provided through our Services are the property of OUTSMART or its licensors and are protected by copyright and other intellectual property laws.

Prohibited Activities

Spamming or sending unsolicited communications.
Harassing or abusing others on the platform.

Liabilities and Warranties

To the maximum extent permitted by applicable law, in no event shall OUTSMART, its officers, directors, employees, or agents be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with your use of our Services, whether based on contract, tort, strict liability, or any other legal theory, even if [Your Company Name] has been advised of the possibility of such damages.

Indemnification

You agree to indemnify and hold OUTSMART and its officers, directors, employees, and agents harmless from and against any and all claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your use of our Services or violation of these Terms.

Termination

OUTSMART reserves the right to terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including breach of these Terms.

Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of India, and any legal disputes shall be subject to the jurisdiction of the High Court of Karnataka, India.

Changes to Terms of Service

OUTSMART reserves the right to modify or replace these Terms at any time. We will notify you of any material changes to these Terms by posting the updated Terms on our website or through other reasonable means.
